Chapter 10 - The Unforeseen Proxy

Marcus froze with his hand still raised in the air, his smug smile locking awkwardly onto his face. The entire boardroom fell into a stunned, absolute silence. Every head whipped around toward the entrance of the room. The heavy mahogany doors, which had remained shut during the proceedings, slowly swung open.

Stepping into the room was not a stray assistant or a late executive, but Arthur Vance—Marcus’s estranged younger brother and the founder of Vance Global Asset Management, a multi-billion-dollar rival firm that had spent the last decade locked in bitter corporate warfare with Sterling Enterprises. Arthur looked immaculate, wearing a sharp navy suit and carrying a thick leather briefcase. Behind him walked two senior partners from the city’s most prestigious corporate law firm, holding identical black leather folios.

Marcus’s face drained of color, his skin turning an ashen gray in a matter of seconds. He gripped the edge of the mahogany table so hard his knuckles turned completely white.

"Arthur?" Marcus choked out, his voice cracking with sheer disbelief. "What... what are you doing here? This is a closed corporate session of Sterling Enterprises! You have no jurisdiction or business in this room!"

Arthur offered a cold, razor-sharp smile that bore a chilling resemblance to his brother's, yet carried none of the warmth. He walked slowly toward the table, stopping just opposite Marcus.

"On the contrary, dear brother," Arthur said smoothly, his voice carrying clearly across the silent room. "I have every right to be here. As of nine o'clock this morning, Vance Global Asset Management quietly acquired a controlling stake in the primary voting shares previously held by Mr. Henderson."

Henderson abruptly dropped his pen, burying his face in his hands as the realization of his betrayal’s exposure hit him.

Marcus stared at his brother in absolute horror. "That’s impossible! Henderson’s shares were locked under a non-compete clause tied to our syndicate! He couldn't sell them without board approval!"

"He didn't sell them to me," Victoria Sterling spoke up for the first time, his deep voice cutting through the tension like a razor. Victoria stood up slowly from his seat, fixing Marcus with a gaze of pure, freezing contempt. "He sold them to me through an offshore holding company last Friday. And immediately afterward, I transferred those exact voting rights directly to Arthur Vance in exchange for a permanent non-aggression pact between our two firms."

Marcus staggered backward half a step, his mind racing wildly as the intricate trap closed around him. He looked desperately around the boardroom table, but his co-conspirators were suddenly studying their notes with intense, terrified concentration, abandoning him to his fate.

"This... this is collusion!" Marcus shouted, his voice pitching upward in panic as he slammed his palm against the table. "You can't do this! It’s a hostile manipulation of corporate assets!"

Clara finally stood up from her chair. She smoothed down the front of her charcoal maternity dress, her movements unhurried and terrifyingly graceful. She walked slowly toward the head of the table, stopping directly beside her father. The transformation from the weeping victim in the penthouse to the undisputed commander of the room was complete.

"Collusion, Marcus?" Clara asked, her voice calm, icy, and dripping with controlled fury. "You call transferring shares collusion? What would you call orchestrating an affair with my husband, laundering company funds through Bahamian shell companies, and staging a fraudulent medical incapacity vote to execute a hostile takeover?"

Marcus froze completely, the air rushing out of his lungs.
