Chapter 5: The Unraveling of Julian

Richard Sterling leaned forward, his eyes narrowing. ""Mrs. Vance, whatever domestic grievances you have with your husband should be handled in family court. This board is executing a binding corporate acquisition of the Castile manufacturing network.""
""There is no acquisition, Mr. Sterling,"" Elena replied smoothly, resting her hands on the table. ""Because the entity you attempted to purchase—Vance Textile Logistics—does not own the machinery, the patents, or the supply chains.""
She slid a certified document across the polished wood to Sterling.
""Three years ago, Julian secured a twelve-million-dollar mezzanine loan from your equity group using the Massachusetts weaving mills as collateral,"" Elena continued. ""What Julian failed to verify—because he spent his afternoons in luxury ski resorts rather than reading shareholder covenants—was that the land and the machinery were placed into an employee-owned cooperative trust by my grandmother in 1988.""
Richard Sterling grabbed the document, his reading glasses trembling as he scanned the deed restrictions.
""The collateral was invalid on the day it was signed,"" Arthur Campbell added calmly from beside Elena. ""Julian Vance signed a personal guarantee for that loan. Which means, Mr. Sterling, that your debt is owed entirely by Julian Vance as an individual, not by the Castile estate.""
Julian’s face went completely ashen. He sank back into his chair, his hands shaking so violently that he had to grip the armrests.
""Elena... you knew?"" Julian whispered in horror. ""You knew about the loan three years ago?""
""I knew the day you signed it, Julian,"" Elena turned her gaze to him for the first time. ""I wanted to see if you would ever have the courage to tell me the truth. I waited for three years. But you were too busy building a palace of mirrors.""
She stood up, buttoning her jacket.
